These Terms of Use ("Terms") apply to the HerdStreet website located at www.herdstreet.com, the HerdStreet mobile application, and all associated services (collectively, the "Site"). The Site is the property of HerdStreet LLC ("HerdStreet," "we," "us," or "our").
BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE. IF YOU DO NOT AGREE, DO NOT USE THE SITE.
HerdStreet reserves the right to change, modify, add, or remove portions of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the Site following the posting of changes means that you accept and agree to the changes.
All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, artwork, software, and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, look and feel, and arrangement of such Content, contained on the Site is owned, controlled, or licensed by or to HerdStreet, and is protected by trade dress, copyright, patent, and trademark laws, and various other intellectual property rights.
Except as expressly provided in these Terms, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, website, or other medium for publication or distribution or for any commercial enterprise, without HerdStreet's express prior written consent.
HerdStreet's products, services, and technology are protected by one or more pending patent applications. HerdStreet, StayTrack, RamTrack, FlockTrack, BullTrack, StockTrack, SaleDay, Digital Cowbell, Virtual Polywire, Virtual Hotwire, and Virtual Netting are trademarks of HerdStreet LLC. All other trademarks are the property of their respective owners.
You may not use any automated device, program, algorithm, or methodology, including but not limited to robots, spiders, scrapers, or similar tools, to access, acquire, copy, or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site, to obtain or attempt to obtain any materials, documents, or information through any means not purposely made available through the Site. HerdStreet reserves the right to bar any such activity.
You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any HerdStreet server, by hacking, password mining, or any other illegitimate means.
You may not probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site.
You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or HerdStreet's systems or networks.
You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person's use of the Site.
You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity that infringes the rights of HerdStreet or others.
Certain HerdStreet collar devices require an active subscription for full functionality, including but not limited to cellular connectivity, health monitoring, breeding intelligence, and virtual fencing features. Subscription terms, pricing, and billing are as described on the Site at the time of purchase. HerdStreet reserves the right to change subscription pricing with thirty (30) days' notice to active subscribers.
HerdStreet may, from time to time, issue firmware updates to collar devices. These updates may be delivered automatically over-the-air without prior notice. Firmware updates may modify, add, or remove features and functionality. By activating a HerdStreet collar device, you consent to the automatic delivery and installation of firmware updates. You may not prevent, block, or interfere with the delivery or installation of firmware updates.
Health alerts, breeding notifications, and any recommendations provided through the Site or HerdStreet collar devices are for informational purposes only and are not a substitute for professional veterinary care. HerdStreet does not provide veterinary medical advice, diagnosis, or treatment. Always consult a qualified veterinarian regarding the health of your livestock. HerdStreet is not liable for any loss, injury, or death of any animal resulting from reliance on health alerts, recommendations, or any other information provided through the Services.
HerdHelp is an AI-powered informational tool. Responses generated by HerdHelp are not veterinary advice and should not be treated as a substitute for consultation with a licensed veterinarian. HerdStreet makes no warranty regarding the accuracy, completeness, or reliability of any information provided by HerdHelp. By using HerdHelp, you acknowledge that AI-generated content may contain errors and that you are solely responsible for all decisions regarding the care and treatment of your livestock.
Virtual fencing provided by HerdStreet collar devices is a livestock management tool and is not a guaranteed physical barrier. HerdStreet does not guarantee that any animal will remain within a virtual boundary at all times. Virtual fencing effectiveness depends on proper collar fit, adequate training of livestock, terrain, weather, cellular coverage, battery charge, GPS accuracy, and other factors beyond HerdStreet's control. HerdStreet is not liable for any loss, injury, property damage, or liability arising from an animal crossing or failing to respond to a virtual boundary.
The customer must maintain physical perimeter fencing around the legal boundaries of any property where HerdStreet collar devices and virtual fencing are in use. HerdStreet virtual fencing is a grazing management tool designed for use within physically fenced properties and is not a replacement for physical boundary fencing. HerdStreet is not liable for any loss, injury, property damage, or liability arising from the use of virtual fencing on property that does not have adequate physical perimeter fencing.
By using HerdStreet collar devices, you agree to comply with all applicable federal, state, and local laws and regulations regarding animal welfare. HerdStreet collar devices must only be used on livestock (cattle, sheep, goats, and livestock guardian dogs) for legitimate agricultural purposes. You must not use HerdStreet collar devices on any person or on any animal other than livestock. Any such use constitutes a material breach of these Terms and may result in immediate termination of your account and all services.
You are responsible for ensuring that all devices used to access the Services (including smartphones and tablets) are technically capable of doing so and meet the minimum specifications listed on the Site. You agree to keep the HerdStreet app updated to the latest version. Using outdated or unsupported versions of the app may result in reduced functionality or service interruptions for which HerdStreet is not liable.
All purchases made through the Site are processed by Stripe, Inc. HerdStreet does not store, process, or have access to your credit card numbers or bank account details. By making a purchase, you agree to Stripe's terms of service.
Additional terms and conditions may apply to purchases of goods or services and to specific portions or features of the Site, including promotions, all of which terms are made a part of these Terms by this reference.
HerdStreet may make changes to any products or services offered on the Site, or to the applicable prices for any such products or services, at any time, without notice. The materials on the Site with respect to products and services may be out of date, and HerdStreet makes no commitment to update the materials on the Site with respect to such products and services.
By placing an order, you represent and warrant that:
(a) You are purchasing HerdStreet products for your own use in managing your own livestock operation.
(b) You are not an officer, director, employee, contractor, consultant, agent, or affiliate of any company that designs, manufactures, sells, or distributes virtual fencing, livestock tracking, livestock health monitoring, or competing livestock technology products.
(c) You are not purchasing on behalf of any such company or individual described in (b).
(d) You will not use HerdStreet products, software, firmware, data, or any information derived therefrom for the purpose of competitive analysis, reverse engineering, benchmarking, or the development of any competing product, service, or technology.
HerdStreet reserves the right to cancel any order, terminate any account, deactivate any collar device, and pursue all available legal remedies if we determine, in our sole discretion, that any of the above representations are false. Any purchase made in violation of these terms constitutes a material breach of this Agreement and may subject the purchaser to liability for all damages suffered by HerdStreet, including but not limited to lost profits, legal fees, and the cost of any intellectual property enforcement action.
Certain features or services offered on or through the Site may require you to create an account. You are entirely responsible for maintaining the confidentiality of your account information, including your password, and for any and all activity that occurs under your account. You agree to notify HerdStreet immediately of any unauthorized use of your account or password, or any other breach of security.
You may not use anyone else's account at any time without the express permission of the account holder. HerdStreet cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.
HerdStreet and its employees and contractors do not accept, review, or consider any unsolicited ideas, works, materials, proposals, suggestions, or content, including but not limited to ideas for products, product features, services, technologies, product enhancements, processes, marketing strategies, product names, or creative materials (all of the foregoing, "Submissions"). Please do not send or provide any Submissions in any form to HerdStreet or any of its employees or contractors.
The purpose of this policy is to avoid potential misunderstandings or disputes when HerdStreet's products, services, technologies, or features might seem similar to Submissions provided to HerdStreet. If, despite our request that you not send us your Submissions, you still submit them, then regardless of what your correspondence says, the following terms will apply to your Submissions.
Terms of Idea Submission. You agree that: (1) your Submissions and their contents along with related intellectual property rights will automatically become the property of HerdStreet, without any compensation to you; (2) HerdStreet may use or redistribute the Submissions and their contents for any purpose and in any way on an unrestricted basis; (3) there is no obligation for HerdStreet to review the Submissions; and (4) there is no obligation to keep any Submissions confidential.
HerdStreet does welcome your feedback regarding our existing products and services. If you want to send us feedback, please use the contact information provided on the Site. Please provide only specific feedback on HerdStreet's existing products, services, and features. Do not include any ideas for new products, new features, or new technologies in your feedback.
Any feedback you provide shall be deemed to be non-confidential and not proprietary. HerdStreet shall be free to use and redistribute such feedback on an unrestricted basis, without any compensation to you.
HerdStreet may, with your prior consent, use your name, general location, images, and a description of your use of the Services for marketing and publicity purposes, including but not limited to customer testimonials, case studies, and promotional materials.

HERDSTREET DOES NOT WARRANT THAT HEALTH ALERTS WILL DETECT ALL HEALTH CONDITIONS OR THAT BREEDING RECORDS WILL BE 100% ACCURATE. LIVESTOCK MANAGEMENT DECISIONS REMAIN THE SOLE RESPONSIBILITY OF THE LIVESTOCK OWNER.
HERDSTREET IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR ANY OTHER LOSS OR DAMAGE RESULTING FROM THE TRANSFER OF DATA OVER COMMUNICATIONS NETWORKS AND FACILITIES, INCLUDING THE INTERNET, AND YOU ACKNOWLEDGE THAT THE SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF SUCH COMMUNICATIONS FACILITIES.

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT WILL HERDSTREET BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST LIVESTOCK, LOST REVENUE, OR COST OF REPLACEMENT ANIMALS, EVEN IF HERDSTREET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS, HERDSTREET IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE SITE, COLLAR DEVICES, OR ANY SERVICES, HERDSTREET'S LIABILITY SHALL IN NO EVENT EXCEED THE GREATER OF (1) THE TOTAL SUBSCRIPTION AND HARDWARE FEES PAID BY YOU TO HERDSTREET IN THE SIX (6) MONTHS PRIOR TO THE DATE OF THE INITIAL CLAIM, OR (2) US $500.00.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY, SO THE FOREGOING LIMITATION MAY NOT APPLY TO YOU.
You agree to indemnify and hold HerdStreet, its officers, directors, shareholders, employees, agents, subsidiaries, affiliates, and licensors harmless from any demands, loss, liability, claims, or expenses (including attorneys' fees) made against HerdStreet by any third party due to or arising out of or in connection with your use of the Site, collar devices, or Services, including but not limited to any claims arising from livestock escaping virtual boundaries, animal injury or death, property damage caused by livestock, failure to maintain adequate physical perimeter fencing, or your failure to properly manage your livestock.
You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the State of Wyoming without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Wyoming, and waive any objection to such jurisdiction or venue.
Any claim under these Terms must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred.
In the event of any controversy or dispute between HerdStreet and you arising out of or in connection with your use of the Site or Services, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.
HerdStreet may, in its sole discretion and without prior notice, terminate your access to the Site and/or deactivate collar services if we determine that you have violated these Terms or other agreements or guidelines associated with your use of the Site or Services. HerdStreet will not be liable to you or to any third party for termination of your access as a result of any violation of these Terms.
If any provision of these Terms is held by a court of competent jurisdiction to be void or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms, so that these Terms shall remain in full force and effect.
These Terms constitute the entire agreement between you and HerdStreet with regard to your use of the Site. HerdStreet's failure to insist on or enforce strict performance of these Terms shall not be construed as a waiver by HerdStreet of any provision or any right it has to enforce these Terms.
