PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING YOUR HERDSTREET COLLAR DEVICE OR THE HERDSTREET APPLICATION. BY ACTIVATING A HERDSTREET COLLAR DEVICE, DOWNLOADING, INSTALLING, OR USING THE HERDSTREET APPLICATION, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE OR ACTIVATE THE DEVICE.
The software embedded in HerdStreet collar devices ("Firmware") and the HerdStreet mobile and web application ("App") (collectively, the "Software") are licensed, not sold, to you by HerdStreet LLC ("HerdStreet") for use only under the terms of this Agreement. HerdStreet and its licensors retain ownership of the Software and reserve all rights not expressly granted to you.
Subject to the terms of this Agreement, HerdStreet grants you a limited, non-exclusive, non-transferable, revocable license to:
This license does not allow you to use the Software on any device that is not a HerdStreet product, and you may not distribute or make the Software available over a network where it could be used by multiple devices or users unless authorized by HerdStreet.
You may not, and you agree not to, or enable others to:
HerdStreet may from time to time develop updates to the Firmware, including bug fixes, patches, new features, and upgraded versions ("Updates"). Updates may be automatically installed without additional notice or consent. You agree that HerdStreet may deliver Updates to your collar devices automatically via over-the-air transmission. You may not prevent, block, or interfere with the delivery or installation of Updates.
Updates may modify, add, or remove features or functionality. HerdStreet is not obligated to provide any Updates or to continue to support or maintain any prior version of the Software.
The Software collects and transmits data from collar devices, including but not limited to GPS location, motion and behavioral data, device health metrics, and connectivity data. This data collection is described in the HerdStreet Privacy Policy, which is incorporated herein by reference. By using the Software, you consent to the collection, transmission, storage, and use of this data as described in the Privacy Policy, including the use of de-identified data for machine learning model training and product improvement.
The Software and all copies thereof are proprietary to HerdStreet and its licensors, and title thereto remains in HerdStreet and its licensors. The Software is protected by United States copyright law, patent law, trade secret law, and international treaty provisions. HerdStreet's products and technology are protected by one or more pending patent applications.
You acknowledge that the Software contains trade secrets and proprietary information of HerdStreet and its licensors. You agree to hold the Software in confidence and not to disclose or make available the Software or any information derived from it to any third party.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
HERDSTREET DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. HERDSTREET DOES NOT WARRANT THAT VIRTUAL FENCING WILL CONTAIN ALL ANIMALS AT ALL TIMES, THAT HEALTH ALERTS WILL DETECT ALL CONDITIONS, OR THAT BREEDING RECORDS WILL BE COMPLETELY ACCURATE.
THE SOFTWARE IS NOT INTENDED TO REPLACE PROFESSIONAL VETERINARY CARE, PHYSICAL FENCING, OR DIRECT OBSERVATION OF LIVESTOCK. YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE SOFTWARE IN CONNECTION WITH THE MANAGEMENT OF LIVESTOCK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HERDSTREET OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF LIVESTOCK, LOSS OF PROFITS, LOSS OF DATA, PROPERTY DAMAGE, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF HERDSTREET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
HERDSTREET'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO HERDSTREET FOR THE PRODUCT ON WHICH THE SOFTWARE IS INSTALLED, OR ONE HUNDRED DOLLARS (US $100.00), WHICHEVER IS GREATER.
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you shall cease all use of the Software. HerdStreet may also disable the Software on your devices remotely upon termination.
Sections 2, 5, 6, 7, and 9 of this Agreement shall survive any termination.
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in Wyoming.
The Software may contain or be provided together with open source software. Each item of open source software is subject to its own applicable license terms, which can be found in the open source software documentation or the applicable help, notices, about, or source files. Copyrights to the open source software are held by the respective copyright holders indicated therein.

This Agreement constitutes the entire agreement between you and HerdStreet relating to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this Agreement will be binding unless in writing and signed by HerdStreet.
