HerdHelp™ Terms of Use

1. Nature of Service

HerdHelp™ (“HerdHelp”) is an AI-powered informational tool provided by HerdStreet LLC, a Wyoming limited liability company (“Company,” “we,” “us,” or “our”). HerdHelp generates general educational information about livestock health conditions based on user-provided symptom descriptions. HerdHelp is NOT a veterinary service, veterinary consultation, veterinary diagnosis, veterinary treatment recommendation, or veterinary prescription service. Use of HerdHelp does not establish a veterinarian-client-patient relationship (“VCPR”) as defined by any state, federal, or international jurisdiction. No VCPR exists between you and HerdStreet LLC, its owners, employees, contractors, or affiliates.

2. Not Veterinary Medicine

The information provided by HerdHelp is for general educational and informational purposes only. It is not intended to be, and shall not be construed as, the practice of veterinary medicine as defined by any state, federal, or local jurisdiction, including but not limited to the diagnosis, treatment, cure, mitigation, or prevention of disease in animals. HerdHelp does not examine animals, does not diagnose conditions, does not prescribe or recommend medications, does not provide treatment plans, and does not render opinions on specific animal health outcomes. No information provided by HerdHelp should be interpreted as a substitute for professional veterinary advice, diagnosis, or treatment. You should never delay seeking veterinary care, disregard veterinary advice, or discontinue veterinary treatment based on information provided by HerdHelp.

3. No Reliance

You acknowledge and agree that you shall not rely on HerdHelp output as the sole or primary basis for any decision regarding animal health, treatment, medication, management, culling, breeding, quarantine, or euthanasia. You are solely responsible for all decisions regarding the care, treatment, and management of your animals. You agree to consult a licensed veterinarian before taking any action or inaction based on information provided by HerdHelp. HerdHelp output is intended to supplement, not replace, the professional judgment of a licensed veterinarian who has physically examined the animal in question.

4. AI Limitations and Accuracy

HerdHelp uses artificial intelligence, including third-party large language models, that may produce inaccurate, incomplete, outdated, fabricated, or misleading information. AI-generated responses may contain errors, omissions, or hallucinated content that appears authoritative but is factually incorrect. HerdHelp does not have access to your animal’s medical history, physical condition, vaccination status, prior treatments, herd health history, regional disease prevalence, or environmental context beyond what you voluntarily provide in your query. Responses are generated algorithmically in real time and are not reviewed, verified, or approved by a veterinarian, veterinary technician, or any qualified animal health professional before delivery. The Company does not independently verify the accuracy of any HerdHelp output.

5. Assumption of Risk

You acknowledge that livestock health management involves inherent and substantial risks including but not limited to animal injury, animal suffering, animal death, disease transmission, zoonotic disease exposure, and financial loss. You voluntarily assume all risk associated with the use of HerdHelp and any actions taken or not taken based on HerdHelp output. You acknowledge that delayed, incorrect, or inappropriate treatment of animal health conditions can result in animal suffering, death, herd-wide disease transmission, regulatory action, and significant financial loss, and that reliance on HerdHelp in lieu of timely veterinary consultation may contribute to such outcomes.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HERDSTREET LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND AFFILIATES (COLLECTIVELY, “RELEASED PARTIES”) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, INABILITY TO USE, OR RELIANCE ON HERDHELP, INCLUDING BUT NOT LIMITED TO ANIMAL INJURY, ANIMAL SUFFERING, ANIMAL DEATH, DISEASE TRANSMISSION, FINANCIAL LOSS, LOST PROFITS, LOST REVENUE, VETERINARY EXPENSES, REGULATORY FINES, OR LOSS OF LIVESTOCK VALUE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), WHETHER SUCH DAMAGES WERE FORESEEABLE, AND WHETHER THE RELEASED PARTIES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES EXCEED THE AMOUNT YOU PAID TO HERDSTREET LLC FOR USE OF HERDHELP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS LESS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIABILITY OF THE RELEASED PARTIES SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or related to: (a) your use of or reliance on HerdHelp; (b) any actions taken or not taken with respect to animal health, treatment, or management based in whole or in part on HerdHelp output; (c) your violation of these Terms of Use; (d) your violation of any applicable law, regulation, or ordinance; or (e) any claim by a third party related to your use of HerdHelp, including but not limited to claims related to animal welfare, negligence, or professional malpractice.

8. Disclaimer of Warranties

HERDHELP IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE RELEASED PARTIES HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. THE RELEASED PARTIES DO NOT WARRANT THAT HERDHELP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT HERDHELP OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM HERDHELP SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

9. Regulatory Compliance

HerdHelp is not registered, licensed, certified, or approved by any state veterinary medical board, the United States Department of Agriculture (USDA), the Food and Drug Administration (FDA), or any other federal, state, local, or international regulatory body. Use of HerdHelp does not satisfy any legal, regulatory, or professional requirement for veterinary consultation, examination, diagnosis, treatment, or oversight. You are solely responsible for complying with all applicable federal, state, and local laws and regulations regarding animal health and veterinary care in your jurisdiction.

10. Prohibited Uses

You agree not to use HerdHelp: (a) as a substitute for emergency veterinary care; (b) to obtain information for the purpose of self-administering controlled substances, prescription medications, or extra-label drug use without veterinary oversight; (c) to circumvent or delay legally required veterinary consultation or reporting obligations, including but not limited to reportable disease notification requirements; (d) for any purpose that violates applicable law; (e) to generate content for resale, commercial redistribution, or competitive analysis; or (f) by any officer, director, employee, contractor, consultant, agent, or affiliate of any company that designs, manufactures, sells, or distributes virtual fencing, livestock tracking, livestock health monitoring, or competing livestock technology products, for the purpose of competitive analysis, benchmarking, or the development of competing products or services.

11. Data Use and Privacy

Queries submitted to HerdHelp may be stored, analyzed, aggregated, and used to improve the service and develop new products. Query data may be processed by third-party AI service providers subject to their respective privacy policies and data processing agreements. Do not submit personally identifiable information about yourself or others, protected health information, or confidential business information through HerdHelp. Aggregated and anonymized usage data may be used for research, product development, and marketing purposes. See our Privacy Policy for complete details regarding data collection, storage, and use.

12. Intellectual Property

HerdHelp™, HerdStreet™, and all associated trademarks, trade names, service marks, logos, analytical methods, algorithms, data models, prompt engineering, and system architecture are the exclusive property of HerdStreet LLC and are protected by applicable intellectual property laws and pending patent applications. Unauthorized reproduction, distribution, reverse engineering, scraping, automated querying, or any attempt to derive the underlying methodology, prompts, or training data is strictly prohibited and may result in civil and criminal penalties.

13. Modification and Termination

HerdStreet LLC reserves the right to modify, suspend, restrict, or discontinue HerdHelp or any feature thereof at any time without prior notice or liability. These Terms of Use may be updated at any time by posting the revised terms on this page with an updated “Last Updated” date. Your continued use of HerdHelp following any modification constitutes your binding acceptance of the modified terms. It is your responsibility to review these Terms of Use periodically.

14. Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute, claim, or controversy arising from or related to these Terms of Use or your use of HerdHelp shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in or serving Big Horn County, Wyoming. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue therein. Any claim arising under these Terms of Use must be brought within one (1) year after the cause of action accrues or be permanently barred.

15. Waiver of Class Action

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE RELEASED PARTIES.

16. Severability

If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

17. Waiver

The failure of HerdStreet LLC to enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms of Use will be effective only if in writing and signed by HerdStreet LLC.

18. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other legal notices published by HerdStreet LLC on the HerdHelp service, constitute the entire agreement between you and HerdStreet LLC regarding your use of HerdHelp and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
